What we handle
Liquidation for mainland and free zone companies.
Every company is different. We look at where yours stands, then plan the liquidation from the shareholders' resolution to the final accounts.
-
Mainland company liquidation
Liquidation advisory for mainland companies in Dubai and across the UAE. We plan the steps, work with the liquidator, settle what the company owes and prepare the final accounts.
Dubai and all emirates -
Free zone company liquidation
Liquidation advisory for free zone companies, including DMCC. Each free zone has its own rules, and we plan the liquidation around the ones that apply to your company.
DMCC and other UAE free zones -
Liquidator appointment and voluntary liquidation
Voluntary liquidation starts with a shareholders' resolution and the appointment of a liquidator. We prepare the resolution, arrange the liquidator and manage the winding up.
Solvent companies closing by choice -
Liquidation report and final audit
A liquidation normally needs final audited accounts and a liquidation report. Our audit team prepares both in-house, so there is no second firm to brief.

A company you no longer use still costs you.
Stopping trading does not close a company. Until it is properly liquidated, its costs and obligations carry on.
-
Ongoing fees keep adding up
A company that has stopped trading still carries running costs, such as rent, service fees and annual charges, and they keep adding up the longer it stays open.
-
Accounts stay open
Company bank accounts, contracts and subscriptions stay open until the company is wound up and the final balances are settled.
-
Directors stay responsible
Until the company is properly liquidated, its directors and shareholders remain responsible for its obligations and debts.
-
Loose ends get harder to tie up
The longer a company sits, the harder it becomes to trace records, agree balances with creditors and close the books cleanly.
The longer a dormant company is left, the more there is to settle. Starting now keeps the liquidation simpler.

Questions
Company liquidation in the UAE: common questions.
How long does company liquidation take in the UAE?
It depends on the size of the company, the creditor notice period, how many liabilities need to be settled, and the state of the company's records. We review your situation in the free consultation and give you a realistic timeline for your company before you commit.
What is the difference between mainland and free zone company liquidation?
The requirements differ depending on where the company is registered, and each free zone sets its own rules. In both cases, a voluntary liquidation usually involves a shareholders' resolution, appointing a liquidator, notifying creditors, settling liabilities, and preparing final audited accounts and a liquidation report. We advise mainland and free zone companies, including DMCC.
Is an audit required to liquidate a company?
In most cases, yes. Final audited financial statements and a liquidation report covering the period up to the liquidation date are usually required. Our audit team prepares both in-house, so the audit and the liquidation run on one timetable.
Can I close a company that still has pending liabilities?
Debts, salaries, end-of-service benefits, rent and other amounts owed normally have to be settled or formally agreed before a company can be wound up, and creditors are given notice to come forward. If the company cannot pay its debts, voluntary liquidation may not be the right route. We review the open items with you first and explain the options.
What happens to the company bank account?
The bank account usually stays open until the final balances are settled and any remaining funds are distributed to the shareholders, and is then closed. We plan the steps in the right order so the winding up runs smoothly.
Can you liquidate a DMCC company?
Yes. We advise DMCC and other free zone companies. The work follows the same core steps: a shareholders' resolution, appointing a liquidator, settling liabilities, and final audited accounts with a liquidation report. We explain what applies to your company in the free consultation.
Can you handle the liquidation if I am outside the UAE?
Often, yes. Much of the work can be handled remotely by phone, email and WhatsApp. If any step needs you in person, we tell you at the start.
